By accessing or using QuoteWell (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including those with free and paid accounts. QuoteWell is operated by Espira Solutions Inc. (“we,” “us,” or “our”).
QuoteWell is a cloud-based Configure, Price, Quote (CPQ) platform designed for managed service providers (MSPs). The Service allows users to build service catalogs, generate professional quotes, connect to CRM systems, export branded PDF proposals, and manage their quoting pipeline. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.
To use QuoteWell, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep this information up to date.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at legal@quotewell.ca if you believe your account has been compromised.
QuoteWell offers a free tier with limited functionality, including a maximum of 3 quotes per month and 1 user. Free tier limitations are enforced automatically by the platform.
Paid plans (Pro, Business) provide expanded capabilities including unlimited quotes, additional users, CRM integration, email delivery, and custom branding. Paid plans are billed on a monthly basis and you may cancel at any time. Downgrading to the free tier takes effect at the end of the current billing period.
Paid plans are billed in advance on a monthly basis. All prices are listed in Canadian dollars (CAD) unless otherwise stated. Payments are processed securely through our payment provider.
We do not offer refunds for partial months. If you cancel your subscription, you will retain access to paid features until the end of the current billing period, after which your account will revert to the free tier. We reserve the right to change pricing with 30 days written notice.
We collect account information and usage data as described in our Privacy Policy. By using the Service, you consent to such collection and use. You retain ownership of the data you input into QuoteWell, including customer information, service catalog items, and quote content. We will not sell your data to third parties.
You agree not to:
QuoteWell and all associated software, designs, logos, trademarks, and content are owned by Espira Solutions Inc. and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our intellectual property except as expressly permitted.
You retain full ownership of the data and content you create or upload through the Service, including your service catalog, quotes, and customer information. You grant us a limited license to store and process this data solely to provide the Service to you.
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by applicable law, Espira Solutions Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to QuoteWell in the three (3) months immediately preceding the event giving rise to the claim.
Either party may terminate the agreement with 30 days written notice. We may suspend or terminate your account immediately if you violate these Terms or engage in conduct that we determine to be harmful to the Service or other users.
Upon termination, you may request an export of your data within 30 days of account closure. After that period, we may delete your data in accordance with our data retention policy. Sections 6, 8, 9, and 11 of these Terms survive termination.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
